End User License Agreement
Effective Date: October 17, 2026 | Last Updated: October 17, 2026
IMPORTANT: This End User License Agreement ("EULA") governs your license to use the Propello Suite software. It forms part of, and must be read together with, our Terms of Service (the "Terms"). Capitalized terms not defined here have the meanings given in the Terms. Fees, payment, refunds, warranties, liability, termination, and dispute resolution are governed exclusively by the Terms. By accessing or using the Service, you agree to this EULA.
1. License Grant
Subject to your compliance with the Agreement and payment of all applicable fees, Propello Inc. grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license, during your active trial or subscription, to:
- access and use the Service, and allow your Authorized Users to do so, for your internal business operations, within the features and limits of your plan;
- make the customer-facing parts of the Service (such as storefronts, merch stores, customer portals, proofs, and approval pages) available to your End Customers, solely for them to do business with you; and
- install and use any mobile app, browser extension, or desktop component we provide, solely to access the Service.
2. Restrictions
You will not, and will not allow anyone else to:
- copy, modify, translate, or create derivative works of the Service, or of its templates, themes, workflows, prompts, or documentation, except to customize them for your own use within the Service;
- reverse engineer, decompile, disassemble, or try to discover source code, models, system prompts, algorithms, or non-public APIs, except to the extent the law expressly allows this despite this restriction;
- sell, resell, rent, lease, sublicense, time-share, or provide the Service to third parties as a service bureau, agency platform, or white-label offering, except as expressly allowed in your Service Order;
- access the Service to build, train, or improve a competing product, or to copy its features, design, or business logic;
- circumvent or interfere with authentication, security, usage metering, plan limits, feature gates, trial restrictions, watermarks, or license checks;
- access the Service by automated means (bots, scrapers, crawlers, or scripts), except through APIs and integrations we provide and within their documented limits;
- share login credentials, or let more people use the Service than your plan allows;
- remove or alter any proprietary, copyright, or trademark notice; or
- use the Service in breach of the Acceptable Use rules in Section 6 of the Terms.
3. Authorized Users and End Customers
- You are responsible for ensuring that your Authorized Users comply with this EULA, and for all of their acts and omissions.
- Your End Customers may use customer-facing features only as part of their dealings with you. You are responsible for their use of those features, and for providing them with any terms and privacy notices that the law requires.
- You must promptly remove access for anyone who is no longer authorized.
4. Trial License
During a free trial, the license in Section 1 is limited to evaluating the Service. The trial restrictions in Section 4 of the Terms apply, including limits on usage, exports, publishing, and messaging. The trial license ends automatically when the trial ends or is revoked.
5. Ownership
- The Service is licensed, not sold. Propello Inc. and its licensors keep all rights, title, and interest in the Service, including all software, updates, templates, themes, workflows, prompts, designs, documentation, trademarks, and any improvements, including improvements based on feedback.
- You own Your Data, as set out in Section 7 of the Terms. Nothing in this EULA gives us ownership of Your Data.
- All rights not expressly granted in this EULA are reserved. No license is granted by implication or estoppel.
6. APIs, Integrations, and Third-Party Components
- API access is subject to the documentation and rate limits we publish. We may change, rate-limit, or revoke API keys to protect the Service.
- Connected third-party services are governed by their own terms, as described in Section 8.10 of the Terms.
- The Service includes open-source and third-party components that are licensed under their own terms. Those terms apply only to those components and do not expand your rights in the Service.
7. Updates
We may update the Service at any time, including to fix defects, improve security, or add, change, or remove features, as described in Section 12 of the Terms. Updates are covered by this EULA. You may need to update a mobile app or browser extension to keep using it.
8. Compliance and Export
You will use the Service in compliance with all applicable laws, including privacy, anti-spam, telecommunications, consumer-protection, and export-control and sanctions laws. You will not use or export the Service in violation of Canadian, U.S., or other applicable export or sanctions laws.
9. Termination of License
- This license ends automatically when your subscription or trial ends, or when your account is suspended or terminated under the Terms. Access remains blocked while a suspension is in effect.
- When the license ends, you must stop using the Service and delete any mobile apps, extensions, or downloaded software components. Data export after termination is governed by Section 15.3 of the Terms.
- Sections 2, 5, 9, and 10 survive termination.
10. General
- This EULA is governed by the governing law, dispute resolution, and general provisions of Sections 17 and 18 of the Terms.
- If this EULA conflicts with the Terms, the Terms govern, unless a signed Service Order says otherwise.
- We may update this EULA in the same way as the Terms (see Section 16 of the Terms).
